These Terms & Conditions (“Terms”) govern your access to and use of services provided by Now Accepting Flowers LLC, operating under the brand name dabr (“dabr,” “we,” “our,” or “us”).

By accessing our website, engaging our services, or completing payment through Stripe, you agree to be legally bound by these Terms.

1. Services

dabr provides AI-powered communication systems and related business automation services, including but not limited to:

  • AI call handling systems

  • Lead capture and CRM integrations

  • Messaging workflows

  • Reputation and review systems

  • Website and SEO services

  • Paid advertising management

The specific services provided are determined by the subscription tier selected at checkout or agreed upon in writing.

2. Subscription & Billing

Services are offered on a recurring subscription basis (quarterly by default) unless otherwise agreed in writing.

By completing payment through Stripe, you:

  • Authorize Now Accepting Flowers LLC to charge your payment method

  • Agree to recurring billing for the selected subscription

Subscriptions:

  • Are billed in advance

  • Automatically renew at the end of each billing period

  • Must be canceled before the renewal date to avoid future charges

Failure to cancel before renewal will result in the next billing cycle being charged.

3. No Refund Policy

All payments are non-refundable once a billing period has begun.

If you cancel your subscription:

  • Services remain active until the end of the paid billing period

  • No partial or prorated refunds will be issued

4. Client Responsibilities

You agree to:

  • Provide accurate and complete information

  • Use services in compliance with all applicable laws

  • Maintain proper permissions and consent from your customers

  • Not use dabr services for unlawful, deceptive, or abusive purposes

SMS & Communication Compliance

You are solely responsible for ensuring that your use of dabr’s systems complies with:

  • TCPA (Telephone Consumer Protection Act)

  • A2P messaging regulations

  • Carrier guidelines

  • Data privacy laws

This includes obtaining proper consent from end users before sending SMS or automated communications.

dabr provides tools — you are responsible for how they are used.

5. No Guarantee of Results

dabr provides systems designed to improve communication, responsiveness, and operational efficiency.

However, we do not guarantee:

  • Revenue increases

  • Lead volume

  • Conversion rates

  • Advertising performance

  • Any specific business outcome

Results depend on factors outside of our control.

6. Intellectual Property

All systems developed by dabr remain the exclusive property of Now Accepting Flowers LLC, including:

  • AI systems and configurations

  • Call scripts and automation logic

  • CRM workflows

  • Backend systems and integrations

Clients retain ownership of:

  • Their brand

  • Their content

  • Their business data

Upon termination:

  • Access to dabr systems may be revoked

  • No ownership of proprietary systems is transferred

7. Limitation of Liability

To the fullest extent permitted by law:

dabr shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to:

  • Lost revenue

  • Lost profits

  • Business interruption

Our total liability shall not exceed the total fees paid by you in the three (3) months preceding the claim.

8. Third-Party Services

dabr integrates with third-party providers, including but not limited to:

  • Telephony providers (e.g., Twilio)

  • CRM systems

  • Payment processors (e.g., Stripe)

  • Hosting and infrastructure services

We are not responsible for:

  • Service outages

  • Pricing changes

  • Platform limitations

  • Data handling outside our control

9. Suspension or Termination

We reserve the right to suspend or terminate services:

  • For non-payment

  • For violation of these Terms

  • For unlawful or high-risk activity

  • If continued service creates legal or operational risk

Termination does not remove any outstanding payment obligations.

10. Governing Law

These Terms are governed by the laws of the State of New York.

Any disputes shall be resolved exclusively in the courts located in New York, New York.

11. Modifications

We may update these Terms at any time.

Continued use of our services after updates constitutes acceptance of the revised Terms.
